Who we are
The website and apps are provided by Apex Vertical Holdings LLC, a Wisconsin limited liability company ("Apex Vertical Holdings," "we," "us"). An app may have additional terms. If they conflict with these terms, the app's terms control for that app.
Using our apps
You must be at least 13 years old to use our apps. If you are under the age of majority where you live, you may use them only with the consent of a parent or guardian. If you create an account, keep your sign-in details private. You are responsible for activity on your account.
Your license
We grant you a personal, non-exclusive, non-transferable, revocable license to download and use our apps on devices you own or control, for your own use, in line with these terms and the rules of the store you got the app from.
Acceptable use
You agree not to:
- break the law or violate anyone else's rights while using our apps;
- copy, modify, reverse engineer or resell our apps, except where the law allows it;
- interfere with, overload or try to get unauthorized access to our apps or servers;
- upload anything harmful, such as malware, or content you do not have the right to share;
- use our apps to harass, threaten or mislead anyone.
We may suspend or end your access if you break these terms.
Your content
You keep ownership of the content you create or upload. You give us permission to store, process and display it only as needed to run the app for you. You are responsible for the content you provide.
Purchases and subscriptions
In-app purchases and subscriptions are sold through the Apple App Store or Google Play and are subject to their terms. Subscriptions renew automatically until you cancel them in your App Store or Google Play account settings. Refund requests go to Apple or Google, which decide them under their own policies. Prices and features may change. Any change to a subscription price will be handled as the store's rules require.
Our property
The apps, this website, and their design, code, text, graphics and names belong to Apex Vertical Holdings LLC or its licensors and are protected by law. These terms do not give you any rights to our trademarks.
Third-party services
Our apps may link to or depend on services run by others, such as sign-in with Apple or Google. We are not responsible for those services, and their own terms apply.
Disclaimer
Our website and apps are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the apps will be uninterrupted, error-free or free of harmful components.
Limitation of liability
To the fullest extent the law allows, Apex Vertical Holdings LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, profits or revenue, arising from your use of the website or apps. Our total liability for any claim is limited to the greater of the amount you paid us for the app in the 12 months before the claim, or $50. Some places do not allow these limits, so they may not apply to you.
Indemnity
If your misuse of our apps or your breach of these terms leads to a claim against us, you agree to cover the reasonable costs of that claim, including attorneys' fees, to the extent the law allows.
Apple App Store and Google Play
If you got an app from the Apple App Store, these terms are between you and Apex Vertical Holdings LLC, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support for it, and is not responsible for any claims relating to it, including product liability, legal compliance or intellectual property claims. If the app fails to meet any applicable warranty, you may notify Apple, and Apple will refund the purchase price, if any; Apple has no other warranty obligation. Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you. You confirm that you are not located in a country subject to a U.S. government embargo and are not on any U.S. government list of prohibited or restricted parties.
If you got an app from Google Play, the Google Play Terms of Service also apply.
Governing law
These terms are governed by the laws of the State of Wisconsin and applicable U.S. federal law, without regard to conflict-of-law rules. Any dispute will be resolved in the state or federal courts located in Wisconsin, unless the law where you live requires otherwise.
Changes to these terms
We may update these terms. When we do, we will change the effective date at the top of this page. If you keep using our website or apps after a change takes effect, you accept the updated terms.
